1. Introduction

Welcome to SignAndAgree.com ("Platform"), operated by Digital Perpetual ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Platform.

2. Service Description

SignAndAgree provides a blockchain-verified electronic signing platform. Users can upload documents, create agreements, or record blind signatures. Signing proof is stored on the Polygon blockchain for permanent verification.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old to use this Platform.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Upload content that is illegal, fraudulent, or infringes on third-party rights
• Attempt to gain unauthorized access to the Platform or its systems
• Forge signatures or misrepresent your identity
• Use the Platform to harass, threaten, or deceive others
• Interfere with the proper functioning of the Platform

5. Electronic Signatures

By using the Platform to sign documents, you acknowledge that:

• Your electronic signature is legally equivalent to your handwritten signature
• You consent to conducting transactions electronically
• Signed documents are binding upon all parties
• Blockchain records are permanent and cannot be altered or deleted

The Platform is designed to comply with the Singapore Electronic Transactions Act (ETA). However, certain documents may not be valid with electronic signatures under applicable law. It is your responsibility to ensure electronic signatures are appropriate for your use case.

6. Blind Sign

The Blind Sign feature records signature proof without storing the actual contract content. By using Blind Sign, you acknowledge that:

• You are responsible for maintaining the actual contract documents offline
• We do not store, verify, or have access to the underlying contract details
• The blockchain record only proves that the named parties signed at a specific time

7. Blockchain Verification

Document hashes and signing records are stored on the Polygon blockchain. While we make every effort to ensure reliability, we do not guarantee the availability or permanence of third-party blockchain networks. Blockchain records are public and cannot be deleted.

8. Plans and Payment

The Platform offers free and paid subscription plans. Paid subscriptions are billed monthly via Stripe. You may cancel at any time through the subscription management portal. Refunds are not provided for partial months. We reserve the right to modify pricing with 30 days notice.

9. Intellectual Property

You retain ownership of all documents and content you upload or create on the Platform. By uploading content, you grant us a limited license to store, process, and display it solely for the purpose of providing the service.

10. Limitation of Liability

To the maximum extent permitted by law, Digital Perpetual shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Disclaimer

The Platform is provided "as is" without warranties of any kind. We do not provide legal advice. You should consult a qualified legal professional for advice on the enforceability of electronic signatures in your jurisdiction.

12. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Platform ceases immediately. Blockchain records created prior to termination remain permanent and publicly verifiable.

13. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via the Platform. Continued use after changes constitutes acceptance of the updated Terms.
